Both of you are incorrect. Offshore means that the country doesn't have laws that prohibit you from doing something that's illegal in your own country. For some that means lower taxes, others warez-linking and so forth

The term offshore company is ambiguous. It may refer to either:
- A company which is incorporated outside the jurisdiction of its primary operations regardless of whether that jurisdiction is an offshore financial center (sometimes known as a non-resident company) i.e. a Canadian company may be 'offshore' for the purposes of a USA citizen.
- Any company (resident or otherwise) incorporated in an offshore financial center, i.e. offshore jurisdictions

czech republic is considered offshore as it is in no way connected to the USA.
USA is considered "onshore" in hosting terms.
Even mexico and canada can be considered "onshore" at time if they are somehow connected to the USA by government or diplomatic laws.
Any other country/city/town/magical land not in the USA is offshore.
