What really got Megaupload screwed:

- Emails were found where key members of MU were discussing warez contents of people's uploads.

- MU did not delete copyrighted files when they were reported.

There is something called SAFE HARBOUR which basically protects you as a website owner of being prosecuted if 1. You did not know there were copyrighted files on your system and 2. When notified of a copyrighted file on your system you remove it.

There are many ways to turn a respectable profit off of file hosting. And your budget is more then sufficient to start turning a respectable profit. First step will be incorporation, yes that means setting up a limited liability corporation. Or something similar in your country of residence. Now as far as advertising revenue that is easily achieved.
