It not that good.

a) color could be better
b) it looks mike Maya logo just a little scratched around and even it also could be better
c) your general layout looks more clean and you put a grungestyle in top for you logo (does not match)

Suggestion :
warez-action so you might wanna take some action heroes as background top banner put some shading on it and make the writing smaller put it somewhere nice into this.

Search some photoshop tutorials online how to make something or give yourself time and play a little around, should be go some kind of smoother into the background
